TEXTR OFFICE PHONE POLICY

This Policy applies specifically to your use of Textr Office Phone's call management solutions and related software ("Software") and services (collectively, the "Service"). This Policy is incorporated into and supplements Textr's General Terms and Conditions available at https://textrapp.com/legal/general-terms-and-conditions (the "General Terms"). In the event of any conflict between this Policy and the General Terms, this Policy shall prevail with respect to the Service.

By accessing or using the Service, you agree to both the General Terms and this Policy. Capitalized terms not defined herein have the meanings given in the General Terms.

1. Service Registration

Upon signing up for the Service, You agree to provide Textr Office Phone with Your true, accurate, up to date, and complete personal name and/or company name, administrator name, billing address, the addresses where the Service will primarily be used, email address, contact phone number, credit card information, and other data which may be necessary to administer your Textr Office Phone account ("Account") (collectively, "Registration Data").

You represent and warrant that the information You provide is accurate, current, and complete, and agree to promptly update any of the information if it changes. If you provide Registration Data that is, or that Textr Office Phone suspects to be, false, inaccurate, not current, incomplete, fraudulent, or otherwise unlawful, Textr Office Phone has the right, in its sole discretion, to suspend or terminate the Services and refuse any and all current or future use of all Services by You, your business(es), affiliates and all users of your Account.

At all times, You shall maintain and promptly update Registration Data. You are solely liable for any transactions or activities by you or anyone else that occur on Your Account. You shall immediately notify Textr Office Phone of any unauthorized use of your Account or if any other breach of security has occurred. In no event shall Textr Office Phone be liable for any unauthorized use of your Account.

2. Term of Service

Initial Term

Service is provided on paid subscriptions only for a term of one month if you choose the monthly plan. You are subscribing to the Service for the full length of the applicable Term. This means that if you terminate the Service prior to the end of the then-current Term or we terminate the Service as a result of your Default (any reason, including without limitation, for your failure to pay any sum due hereunder, for suspected fraud or other illicit activity, and/or for any other breach of this Policy – each, a "Default"), you will be responsible for any applicable charges for the full Term as if you remained a customer through the end of the then-current Term, including, without limitation, outstanding charges and unbilled charges.

Renewal

The Term for all Service plans will renew automatically for successive Terms of the same length without further action by or notice to you.

Termination

We reserve the right, in our sole discretion, to modify, suspend or terminate the Service or your account without notice as a result of your Default. We reserve the right to determine, in our sole discretion, what constitutes a Default and you agree that our determination is final and binding on you. In the event of a Default, you will pay us all outstanding charges and unbilled charges and will reimburse us for all attorney, court, collection and other fees and costs we incur in the enforcement of our rights under this Policy.

Upon termination of your account, all information associated with your account (including voicemails, recorded calls, text messages, call history) will be deleted or destroyed in accordance with the Privacy Policy. Business phone numbers acquired with the Textr Office Phone service and ported into Textr Office Phone will be automatically released and lost completely after 90 (ninety) calendar days of the account subscription being terminated either by your request or by non-payment.

3. Payment

Prices and Charges

All prices are identified in US dollars exclusive from taxes and fees on the website or service management dashboard. Additional charges may result if You activate or purchase additional aspects of the Service, or exceed usage thresholds. You will be liable for all charges resulting from use of the Services on your Account. Recurring charges for the Services begin on the Start Date and will continue for the Term.

Billing and Payment Methods

When you subscribe to the Service, you will provide us with a valid payment method, such as a credit card (including proper billing information), and authorize us to collect payments from your payment method. Upon termination, we will charge you any fees and any other outstanding charges and disconnect your Service.

You must keep your payment information, including the account number, expiration date, billing address and other validation information, up to date by making necessary changes through your service management dashboard. If the payment method on your Account is declined or fails for any reason, we will use reasonable efforts to contact you and advise you of the failed billing attempts.

Notwithstanding the foregoing, Textr Office Phone reserves the right to disconnect your Service and terminate your account if your payment method on file is declined or fails for any reason. Textr Office Phone reserves the right to continue to attempt charging your payment method for any outstanding Service charges and additional fees, and to pursue any other legal remedies available, within thirty (30) days after the first failed collection attempt.

We are not responsible for any charges assessed by the credit card issuer on your account for exceeding your credit limit or any other reason. If we suspect fraud, we may immediately suspend your account without notice. We reserve the right to charge a fee for any chargebacks unless in connection with a valid dispute recognized by us as due to our error.

In the event you dispute any charges billed to you, written statements disputing charges must be sent to support@textroffice.com.

4. Refunds

No Refunds for Plan Changes

Textr Office Phone does not offer refunds for any services ordered but changed at any point within the current billing cycle. Should you decide to downgrade to a lower-cost plan, Textr Office Phone will not refund the difference in cost between the two Subscriptions. It is your sole responsibility to contact Textr Office Phone before the start of the next billing cycle to change or modify any services, subscriptions, or accounts.

5. Promotional Plans and Device Terms

The following terms apply specifically to promotional subscription plans that include a complimentary device (e.g., a pre-loaded phone handset) as part of the package offering ("Promotional Plan"). By placing an order or making payment for a Promotional Plan, you confirm that you have read and understood these terms.

5.1 Nature of Promotional Plans

Promotional Plans are special bundled offerings that may include prepaid service credits and a complimentary device. The overall price of a Promotional Plan reflects the bundled value of the service fees and associated promotional benefits. Promotional Plan pricing is not itemized between the service component and the device component.

5.2 Complimentary Device

Any device provided as part of a Promotional Plan is a complimentary item included as part of the overall promotion. As such:

1. The device is not individually priced or sold separately.

2. The device cannot be returned for a refund or exchanged for cash or credit.

5.3 Commitment Period and Early Termination

Promotional Plans are typically tied to a committed usage period as specified at the time of purchase. If you choose to terminate the Service, transfer your number, or port out before the end of the committed period:

4. Textr Office Phone reserves the right to perform a final account settlement based on actual usage, which may include recovery of any promotional discounts applied or costs associated with the complimentary device.

5.4 Billing and Dispute Resolution

You may review a detailed breakdown of your charges at any time through the service management dashboard. If you have questions about any charge, please contact our support team for clarification. If a billing error is confirmed, an adjustment or refund will be issued accordingly.

5.5 Technical Support

If you experience network or call quality issues during the service period, our technical support team is available to assist with troubleshooting and optimization.

 5.6 Acknowledgment

Placing an order or submitting payment for a Promotional Plan constitutes your acknowledgment that you have read, understood, and agreed to the terms set out in this Section 5.

6. Service Distinctions

YOU ACKNOWLEDGE AND UNDERSTAND THAT THE SERVICE HAS DIFFERENT TECHNICAL LIMITATIONS AND OTHER TECHNICAL CHARACTERISTICS AS COMPARED WITH TRADITIONAL TELEPHONE SERVICES. THE SERVICE MAY BE SUBJECT TO DIFFERENT REGULATORY TREATMENT THAN TRADITIONAL OR WIRELINE PHONE SERVICE. THIS TREATMENT MAY LIMIT OR OTHERWISE AFFECT YOUR RIGHTS AND RESPONSIBILITIES BEFORE FEDERAL AND/OR STATE REGULATORY AGENCIES. In addition, you acknowledge that the Numbers you obtain from us may not be listed in any telephone directory (except for Numbers ported to us from your local phone company, which may be listed). One of the consequences of this is that a reverse directory lookup of your Number will most likely not reveal your address.

7. License to Software

If we make Software available to you, your use of the Software is subject to the terms of the license agreement (if any) that accompanies the Software; or, if no license accompanies the Software, then subject to this Policy, you are granted only a non-exclusive copyright license to install and use one instance of the Software (in object code format) solely to enable your own use of the Service. We reserve all other rights to the Software. This limited license does not allow you to modify, adapt or sublicense the Software, merge the Software into another program or create derivative works based on the Software. Except as may be expressly permitted by applicable law, you will not and will not permit or authorize third parties to: (a) reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer or create derivative works of the Software; (b) rent, lease or sublicense the Software; or (c) circumvent or disable any security or technological features or measures in the Software. Unless we notify you otherwise, the Software license ends when your Service ends. You must then promptly uninstall the Software.

The Company reserves the right to make updates to this Policy, at any time. Any updates to this Policy shall be published on the Textr Office Phone product. Users shall be responsible for reviewing this Policy periodically to keep up to date with the latest updates.
